2- Vertical sync - Off
3- Threaded optimization - off
4- Triple buffering – off

Usually a combo of Ctrl T then Alt Enter will get rid of the message and fix the 3D that loads broken at times.

For those who don't care about GTA Online, the easiest way to get rid of the out of memory error is to downgrade to 1.30 or earlier version. Unlike other workarounds this "fix" works in 100% cases. Old patches are available for download from some sites.
What you need to do is to block the game in a firewall and replace GTA5.exe, GTAVLauncher.exe and update\update.rpf with the old patch files. Use Offline Mode to play as long as the game allows. Once it refuses to work offline, temporary allow it in the firewall, let it apply the latest patch and repeat the above. If you want to avoid the hassle of repeating this process, you can use a nocd.
