Nvidia 3D vision contains :
-3D glasses and a USB transmitter
-Drivers required for the USB transmitter
-Software that converts DirectX games into 3D
-Software to play 3D videos that you can find on the web (not BluRay 3D movies)
Nvidia 3D vision requires a compatible screen and a compatible Nvidia graphics card inside the computer (see the 3D vision requirements page)
Cyberlink PowerDVD 10 Ultra 3D contains :
-Software to play DVD
-Software to play BluRay (2D)
-Software to play 3D videos that you can find on the Web
-Software that converts 2D video into 3D video
-Software to play BluRay 3D movies (not available yet, will be added with a software update later)
PowerDVD requires a compatible 3D display. Nvidia 3D vision is one of the supported 3D displays but not the only one.
PowerDVD 10 ultra 3D does support Nvidia 3D vision but you need to have everything installed and configured properly.
If you only have PowerDVD and a pair of glasses it won't work, you need to have both for the nvidia glasses to work.

Yes you'll be good, just remember that BluRay3D capability isn't available yet so the only thing extra over stereoscopic player you get at the moment is 2D to 3D conversion.

Yes that's what 2D to 3D is.
I can't recommend any, converting games and movies are two completely different things.
In my opinion movie conversion always look bad so I'm not even bothering with it.
